Please read these Terms and Conditions carefully before using the IOD Nations website, community platform, and Civic Action app (collectively, the “Service”).

Interpretation and Definitions

Interpretation

Words with capitalized initial letters have the meanings defined below. These definitions apply whether the terms appear in singular or plural form.

Definitions

For the purposes of these Terms and Conditions:

Account means a unique account created for You to access the Service or parts of the Service, including the community platform and Civic Action app.

Company (referred to as “the Company”, “We”, “Us”, or “Our”) refers to IOD Nations, California, United States.

Content means text, images, posts, comments, civic action submissions, or other material that You post, upload, link to, or otherwise make available through the Service.

Country refers to California, United States.

Device means any device used to access the Service, such as a computer, phone, or tablet.

Service refers to the IOD Nations website, the social/community platform, and the Civic Action app.

Terms means these Terms and Conditions, forming the entire agreement between You and the Company regarding use of the Service.

Third-Party Service means any service or content provided by a third party that may be displayed, linked, or made available through the Service (for example, embedded Zoom sessions or linked social media).

Website refers to IOD Nations, accessible from https://iodnations.org.

You means the individual, or the organization on whose behalf that individual acts, accessing or using the Service.

Acknowledgment

These Terms govern Your use of the Service and the agreement between You and the Company. They set out the rights and obligations of all users.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. They apply to all visitors, members, volunteers, and other users.

By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not access the Service.

You represent that You are over the age of 18, or that You have the consent of a parent or guardian. The Company does not knowingly permit unsupervised use of the Service by anyone under 18.

Your use of the Service is also conditioned on Your acceptance of the Company’s Privacy Policy, which describes how We collect, use, and protect Your personal information. Please read the Privacy Policy carefully before using the Service.

User Accounts

When You create an Account, You must provide information that is accurate, complete, and current. Failure to do so is a breach of these Terms and may result in immediate termination of Your Account.

You are responsible for safeguarding the password You use to access the Service and for any activity under Your Account. You agree not to disclose Your password to any third party and to notify Us immediately of any unauthorized use of Your Account.

You may not use a username that impersonates another person or entity, infringes another party’s trademark or naming rights, or is offensive, vulgar, or obscene.

Content

Your Right to Post Content

The Service allows You to post Content, including civic action submissions, community posts, and comments. You are solely responsible for the legality, reliability, and appropriateness of Content You post.

By posting Content, You grant the Company a license to use, display, reproduce, and distribute that Content on and through the Service, for the purpose of operating and promoting IOD Nations’ civic and community functions. You retain ownership of Your Content.

You represent that You own the Content or have the right to post it, and that it does not violate any third party’s privacy, publicity, copyright, or other rights.

This license governs ordinary Content shared through the Service. It does not apply to formal collaborative works, which are governed by the Intellectual Assets and Collaborative Works section below.

Content Restrictions

You are solely responsible for the Content You post and for all activity under Your Account. You may not post Content that is unlawful, threatening, defamatory, obscene, or otherwise objectionable, including:

  • Content that promotes unlawful activity

  • Discriminatory or mean-spirited content targeting religion, race, sexual orientation, gender, or national/ethnic origin

  • Spam, unauthorized advertising, or unsolicited solicitation

  • Malware, viruses, or code intended to disrupt the Service

  • Content that infringes another party’s intellectual property

  • Impersonation of any person or entity, including the Company

  • Deliberately false or misleading information, including in civic action submissions

The Company reserves the right, at its sole discretion, to review, edit, refuse, or remove any Content that does not comply with these Terms, and to suspend or terminate accounts that repeatedly post objectionable Content.

The Company cannot control all Content posted by users. You use the Service at Your own risk and acknowledge that the Company is not liable for Content posted by other users, including any errors, omissions, or offensive material.

Content Backups

The Company performs regular backups of Content but does not guarantee against loss or corruption of data. You are encouraged to maintain Your own copy of any significant Content You submit, independent of the Service.

Intellectual Assets and Collaborative Works

Company Intellectual Assets

Books, videos, music, and other original works published or produced by the Company (including but not limited to the IOD Nations Meritocracy Manifesto and affiliated video and audio productions) are the exclusive property of the Company, protected under applicable copyright and intellectual property law, regardless of the platform or persona under which they are released.

Ideas and Informal Contributions

When You share ideas, feedback, or suggestions through the Service — in community discussions, comments, or civic action submissions — You grant the Company a non-exclusive, royalty-free right to use, adapt, and incorporate those ideas into the Company’s work, without obligation to attribute, compensate, or credit You, unless a separate written agreement states otherwise. This reflects the open, collaborative nature of the platform and does not, by itself, create joint ownership of any resulting work.

Formal Collaborative Works

Where You are invited to actively collaborate on a specific intellectual asset — co-authoring a book chapter, producing a video, composing or performing music — ownership and rights are governed by a separate written collaboration agreement entered into before work begins. In the absence of such an agreement, any resulting work is presumed to be a work made for the Company’s benefit, and You grant the Company an exclusive, worldwide, royalty-free license to use, edit, publish, and distribute it.

Attribution

The Company will make reasonable efforts to credit named collaborators on formal collaborative works, consistent with any collaboration agreement, but attribution on informal contributions is at the Company’s discretion.

Pre-Existing Rights

Nothing in this section transfers ownership of intellectual property You created independently, before or outside Your collaboration with the Company. You retain full ownership of anything you bring to a collaboration that wasn’t created for it.

Copyright Policy

The Company respects the intellectual property rights of others and responds to good-faith claims that Content posted on the Service infringes a copyright.

If You believe Your copyrighted work has been used in a way that constitutes infringement, submit a written notice to hello@iodnations.org with a detailed description of the alleged infringement. Misrepresenting that Content is infringing may result in liability for damages, including costs and attorneys’ fees.

The Service and its original content (excluding user-submitted Content), features, and functionality remain the exclusive property of the Company and its licensors, and are protected by copyright, trademark, and other applicable laws. The Company’s name, marks, and trade dress — including “Make Democracy Offensive… NOT Anonymous™️” — may not be used without prior written consent.

Links to Other Websites

The Service may link to third-party websites or services not owned or controlled by the Company, including embedded Zoom sessions and linked social media. The Company assumes no responsibility for the content, privacy policies, or practices of any third-party site, and is not liable for any damage or loss arising from Your use of them. We advise You to review the terms and privacy policies of any third-party site You visit.

Termination

The Company may suspend or terminate Your Account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, Your right to use the Service ceases immediately. You may terminate Your own Account at any time by discontinuing use of the Service.

Limitation of Liability

To the maximum extent permitted by law, the Company’s total liability under these Terms, and Your exclusive remedy, is limited to 100 USD, as the Service is provided free of charge and does not involve the sale of goods.

In no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages — including loss of data, loss of profits, or business interruption — arising from Your use of or inability to use the Service, even if advised of the possibility of such damages.

Some jurisdictions do not allow these exclusions or limitations, in which case the Company’s liability will be limited to the greatest extent permitted by law.

“As Is” and “As Available” Disclaimer

The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Company does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that it will meet Your specific requirements.

Some jurisdictions do not allow the exclusion of certain warranties, in which case the exclusions in this section apply to the greatest extent enforceable under applicable law.

Governing Law

These Terms are governed by the laws of California, United States, excluding its conflict-of-law rules. Your use of the Service may also be subject to other local, state, national, or international laws.

Dispute Resolution

If You have a concern or dispute about the Service, You agree to first attempt to resolve it informally by contacting the Company at hello@iodnations.org.

Severability and Waiver

Severability

If any provision of these Terms is found unenforceable or invalid, that provision will be interpreted to accomplish its objective to the greatest extent possible, and the remaining provisions will remain in full force.

Waiver

Failure to enforce a right or provision under these Terms does not constitute a waiver of that right, nor of any subsequent breach.

Translation Interpretation

If these Terms are translated into another language, the original English text will prevail in the event of any dispute or inconsistency.

Changes to These Terms and Conditions

The Company reserves the right to modify or replace these Terms at any time. For material changes, We will make reasonable efforts to provide at least 30 days’ notice before the new terms take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
